Source text - English 1.2 Dalam Perjanjian ini, kecuali jika ditentukan lain oleh konteks yang berlaku:
(i) Acuan kepada ketentuan atau perundang-undangan mana pun juga termasuk acuan kepada perubahan, perpanjangan atau pemberlakuan kembali ketentuan atau perundang-undangan tersebut;
(ii) Segala jenis acuan kepada tulisan atau ekspresi kognat dalam Perjanjian ini juga termasuk acuan terhadap kawat telegram, transmisi faksimili atau sarana komunikasi serupa;
(iii) Kata-kata yang mengandung unsur angka tunggal juga mencakup unsur jamak dan sebaliknya, kata-kata yang mengandung unsur maskulin juga mencakup unsur feminim dan sebaliknya, dan kata-kata yang mengandung makna orang juga mencakup badan perusahaan, lembaga non-perusahaan dan rekanan;
(iv) Acuan terhadap Klausa dan kutipan adalah acuan terhadap klausa dan kutipan dalam Perjanjian ini;
(v) Subjudul Klausa dan paragraf dimasukkan hanya untuk tujuan kemudahan acuan dan tidak akan mempengaruhi interpretasi klausa dan paragraf tersebut atau seluruh Perjanjian ini.
2. Jasa
2.1 Perusahaan dengan ini menggunakan Jasa DYLL untuk tujuan Transaksi yang Diajukan dan jasa-jasa terkait yang mencakup tanggung jawab serta cakupan kerja yang disebutkan di atas.
3. Iuran Jasa
3.1 Dengan mempertimbangkan Jasa yang disediakan oleh DYLL, Perusahaan akan mengatur pemberian upah sebesar 2,5% dari penjualan biji besi di masa mendatang sepanjang usia operasional tambang kepada DYLL.

3.3 In the event of the completion of the Proposed Transaction following the expiry or termination of this Agreement, the Service Fee shall continue to be payable if the completion takes place up to 24 (twenty four) months following the expiry or termination of this Agreement.
Translation - Indonesian 1.2 In this Agreement, unless the context otherwise requires:
(i) reference to any statue or statutory provision includes a reference to that statute or statutory provision as from time to time amended extended or re-enacted;
(ii) any reference in this Agreement to writing or cognate expressions includes a reference to cable, facsimile transmission or comparable means of communication;
(iii) words importing the singular number shall include the plural and vice versa, words importing the masculine shall include the feminine and vice-versa, and words importing persons shall include bodies corporate, unincorporated associations and partnerships;
(iv) reference to Clauses and Recitals are reference to the clauses and recitals of this Agreement;
(v) the headings to the Clauses and paragraphs are inserted for ease of reference only and shall not affect the interpretation thereof or of this Agreement.
2. Services
2.1 The Company hereby engages the Services of DYLL for the purposes of the Proposed Transactions and related services which shall comprise the obligations and work scope set out above.
3. Service Fee
3.1 In consideration for the Services provided by DYLL, the Company will bring about the effect to cause DYLL to be the equivalent of 2.5% of the future sale of the iron ore for the life of the mine.

1. Keterangan
KAPAL harus berupa Kapal Tongkang Minyak 89.90m dengan No. Lambung Kapal PENJUAL ESS120822 dan harus dibangun, diperlengkapi dan diselesaikan sesuai dengan ketentuan Kontrak ini, serta spesifikasi dan rencana(-rencana) (selanjutnya secara kolektif disebut sebagai "Spesifikasi") yang ditandatangani oleh masing-masing Pihak dalam Kontrak ini untuk keperluan identifikasi dan dilampirkan pada Kontrak ini dan merupakan bagian yang tak terpisahkan dari Kontrak ini.
Rincian hal-hal di atas serta definisi dan metode pengukuran dan perhitungannya dapat dilihat di bagian Spesifikasi.
3. Penggolongan, Aturan dan Peraturan
3.1 Kapal Tongkang harus dimasukkan dalam BV (selanjutnya disebut sebagai "BV" dan dibangun sesuai dengan aturan dan spesifikasi terbaru BV yang diterbitkan pada atau sebelum tanggal ditandatanganinya Kontrak ini. Biaya persetujuan sketsa, kehadiran surveyor golongan kapal selama konstruksi dan penerbitan sertifikat golongan harus ditanggung oleh Penjual.

3.2 Keputusan Masyarakat Penggolongan terkait kepatuhan atau ketidakpatuhan aturan dan peraturan penggolongan bersifat final dan mengikat terhadap kedua belah Pihak dalam Kontrak ini. Rincian notasi KAPAL harus sesuai dengan Spesifikasi.
KAPAL juga harus mematuhi:

3. Classification, Rules and Regulations
3.1 The Barge shall be entered into the BV (hereinafter called “BV”) and be built in accordance with the BV latest rules and specifications issued on or before the date of signing of this Contract. The cost for approval of drawings, attendance of class surveyors during construction and issuance of class certificate shall be borne by the Seller.
3.2 Decisions of the Classification Society as to compliance or non-compliance with the classification rules and regulations shall be final and binding upon both parties hereto. Details of the VESSEL's notation shall be in accordance with the Specifications.

The rules, regulations, requirements and recommendations of the regulatory agencies of the flag state of Indonesia thereto being in force on and before the date of signing this Contract, in each case as described in the Specifications.
3.3 All the fees and charges incidental to the classification and with respect to compliance with the above referred rules, regulations, requirements, recommendations, guidelines and standards, payable on account of the VESSEL’s construction, shall be for the sole account of the SELLER, except as otherwise provided and agreed to herein.
